These Terms and Conditions ("Terms") govern your use of the Adios platform ("Platform," "Service," or "Adios"), an end-of-life planning service that helps users prepare health, legal, and financial documents and share them with designated individuals ("Amigos"). The Platform is operated by Adios App Pty Ltd ("we," "us," or "our").

1. Scope and Acceptance

1.1 Introduction

These Terms constitute a legally binding agreement between you and Adios App Pty Ltd and cover:

  • Access to and use of the Adios platform
  • Your rights and responsibilities as a user
  • Our obligations and limitations as a service provider
  • Payment terms for subscription services
  • Privacy and data handling practices
  • Dispute resolution procedures

1.2 Acceptance

By accessing, registering for, or using the Adios platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

Your continued use of the Platform after any modifications to these Terms constitutes your acceptance of the revised Terms.

1.3 Eligibility

To use the Adios platform, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding agreements
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations
  • Not be prohibited from using the Service under applicable law

If you are using the Platform on behalf of another person or entity, you represent that you have the authority to bind that person or entity to these Terms.

2. User Conduct and Restrictions

2.1 Prohibited Activities

You agree not to:

  • Use the Platform for any illegal, harmful, or unauthorised purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Upload, share, or transmit content that is fraudulent, defamatory, harassing, or harmful
  • Attempt to gain unauthorised access to the Platform or other users' accounts
  • Interfere with or disrupt the Platform's functionality or security
  • Use automated systems (bots, scrapers) to access the Platform without permission
  • Impersonate another person or entity
  • Share your account credentials with unauthorised individuals
  • Reverse engineer, decompile, or attempt to extract source code from the Platform
  • Use the Platform to spam or send unsolicited communications
  • Upload malicious software, viruses, or other harmful code

2.2 Content Guidelines

When using the Platform, you must ensure that all content you upload, share, or transmit:

  • Is accurate and truthful to the best of your knowledge
  • Does not violate any third-party intellectual property rights
  • Complies with applicable privacy laws regarding personal information
  • Is appropriate for the intended purpose of end-of-life planning
  • Does not contain illegal, offensive, or harmful material

You are solely responsible for all content you submit to the Platform.

2.3 Intellectual Property

Our Content:

The Adios platform, including its design, features, educational content, templates, and software, is protected by intellectual property laws. We retain all rights to our proprietary content and technology.

Your Content:

You retain ownership of the personal information and documents you upload to the Platform. By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Platform services.

Restrictions:

You may not copy, modify, distribute, or create derivative works based on our proprietary content without explicit written permission.

3. Service Provision and Limitations

3.1 Service Description

Adios provides an end-of-life planning platform that includes:

  • Educational content and guidance on end-of-life planning
  • Tools for creating and organizing personal planning documents
  • Secure document storage and management
  • Amigos system for sharing information with designated individuals
  • Access to professional service provider recommendations

Service Limitations:

  • The Platform provides general information and tools, not professional advice
  • We do not guarantee the legal validity of any documents or decisions
  • Professional consultation is recommended for all legal and financial matters
  • Service availability may be subject to maintenance and technical interruptions

3.2 Payment Terms

Subscription Plans:

  • Basic Plan: Plan functionality with 2 free Amigos and 10 document storage
  • Essentials Plan: Plan functionality + document management with 2 free Amigos
  • Complete Plan: Plan functionality + document management + media support with 2 free Amigos

Billing:

  • All subscriptions are billed annually in advance
  • Additional Amigos beyond the 2 included are charged per Amigo annually
  • Payments are processed through Stripe payment processing
  • All fees are non-refundable unless required by applicable law
  • Prices are subject to change with 30 days' notice

4. Termination and Dispute Resolution

4.1 Termination

Termination by You:

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • You may request account deletion, subject to legal retention requirements

Termination by Us:

  • We may suspend or terminate your account for violations of these Terms
  • We may terminate service with 30 days' notice for any reason
  • Immediate termination may occur for serious violations or legal requirements

Effect of Termination:

  • Access to the Platform will cease upon termination
  • Your data may be deleted according to our data retention policies
  • Outstanding fees remain due and payable
  • Provisions regarding intellectual property and liability survive termination

4.2 Dispute Resolution

Informal Resolution:

  • Contact us first at info@adios.au to resolve any disputes
  • We will attempt to resolve issues through good faith discussion
  • Allow 30 days for informal resolution before formal proceedings

Governing Law:

  • These Terms are governed by the laws of New South Wales, Australia
  • Disputes will be resolved in the courts of New South Wales, Australia
  • You consent to the jurisdiction of these courts

5. Modifications

5.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes may be necessary due to:

  • Legal or regulatory requirements
  • Changes in business practices or Platform features
  • Security or technical considerations
  • User feedback and Platform improvements

5.2 Notice of Changes

Notification Methods:

  • Email notification to your registered email address
  • Prominent notice on the Platform
  • Updates to the "Last Updated" date at the top of these Terms

Effective Date:

  • Material changes will take effect 30 days after notification
  • Minor administrative changes may take effect immediately
  • Continued use after the effective date constitutes acceptance

6. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and Adios App Pty Ltd regarding the Platform.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

Force Majeure

We are not liable for any failure to perform our obligations due to events beyond our reasonable control, including natural disasters, government actions, or technical failures.
